Who We Are and What This Agreement Does

We are Keys Community Ltd ("Keys"), of Royal Arsenal Gatehouse, Beresford Square, London, United Kingdom SE18 6AR.
This agreement permits you to use certain services we provide ("Services") in connection with the Keys mobile application software, our associated website at https://keyscommunity.co.uk, the data supplied with the software and any updates or supplements to it (collectively, the "App") for the purposes of engaging with and promoting your services to users of the App ("Users").

Our Services

Our Services provide a means for you to identify prospective clients from within our network of Users, for the purposes of selling them your goods and services. There are two main ways you can do this:

  • By advertising your products or services and your contact details to Users via the App (our "Advertising Service")
  • By allowing us to book and manage orders that Users place for your products or services (our "Management Service")

Advertising Service

Where you sign up for our Advertising Services, our Services will consist of advertising your products or services and your contact details to Users via the App in accordance with our packages.

Management Service

Where you sign up for our Management Services, our Services will consist of booking and managing orders that Users place for your products or services in accordance with our packages.

Introduction Service Only

Our Services provide a way for you to meet prospective clients. We have no involvement beyond facilitating such introductions by allowing you to use our Service. We do not warrant or otherwise promise that any introductions will be made, or that any Users will purchase your products or services as a result of your use of our Services.

Updates to the App and Changes to the Services

From time to time we may automatically update the App and change the Services to improve performance, enhance functionality, reflect changes to the operating system or address security issues. If you choose not to install such updates or if you opt out of automatic updates you may not be able to continue using the Services.

Payment - Advertising Service

The price of the Advertising Product (which includes VAT) will be the price indicated on the order pages when you placed your order. We accept payment with Visa, PayPal, Mastercard, Visa Debit. You must pay us monthly in advance for the Advertising Product.

Commission - Management Service

We shall be entitled to commission ("Commission") if you sign up for our Management Service and a User enters into a Relevant Contract under which you receive payment for your products or services. The amount of Commission payable shall be at the rate of 3% of your Net Income received under each Relevant Contract.

Your Obligations

  • You must at all material times act in good faith towards us
  • You shall provide us with the information we reasonably require
  • You must not use the App or any Services in any unlawful manner
  • You must comply with all applicable laws and regulations

Intellectual Property Rights

All intellectual property rights in the App and the Services throughout the world belong to us (or our licensors) and the rights in the App and the Services are licensed (not sold) to you.

Confidentiality

You undertake that you shall not at any time disclose to any person any confidential information concerning our business, affairs, customers (including Users), clients or suppliers, except as permitted by law.

Data Protection

You shall comply with the Data Protection Legislation and agree that any material breach of the Data Protection Legislation shall, if not remedied within 30 days of written notice from us, give grounds to us to terminate this agreement with immediate effect.

Governing Law and Jurisdiction

This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
